HolderScan API Terms of Service

1. Introduction & Agreement to Terms
These API Terms of Service ("Terms") govern your access to and use of the HolderScan API (“API”), including all related services, data, and documentation provided by HolderScan ("we", "us", or "our").
By accessing or using our API, you agree to these Terms. If you do not accept these Terms, you are not authorized to use the API.
We reserve the right to update or modify these Terms at any time, with or without prior notice. Continued use of the API after changes are posted constitutes acceptance of the revised Terms.
2. API Access & License Grant
- Subject to compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the API.
- API access is provided via an API Key, which must be kept confidential. You are responsible for all activities associated with your API key(s).
- We reserve the right to suspend or terminate API access if misuse, unauthorized activity, or violations of these Terms are detected.
3. Prohibited Activities
When using the HolderScan API, you must NOT:
- Use the API to develop a competing service or commercialize HolderScan data without authorization.
- Manipulate, resell, lease, or license API content for third-party gain.
- Reverse engineer, decompile, or modify any part of the API.
- Conduct malicious, harmful, or fraudulent activities, including hacking, phishing, or spamming.
- Automate excessive API requests beyond reasonable usage limits.
- Misrepresent your identity or how you use API data.
- Engage in data mining, web scraping, or any activity that disrupts HolderScan or affiliated platforms.
- Bypass or interfere with API security measures through unauthorized tools or exploits.
Violating these restrictions may result in immediate termination of API access and legal action if necessary.
4. Payment Terms
- By subscribing to the HolderScan API, you agree that we may charge your payment card or other selected payment mechanisms for all amounts due and payable for API services.
- We reserve the right to alter or change subscription prices or compute units for API calls at any time.
- You may cancel your subscription at any time. However, if you cancel:
- Payments already made and processed shall be non-refundable, and no refunds shall be issued in the form of credits for any API Services already paid for.
- You will not be billed for additional/renewal subscription terms, and API Services will continue until the end of your subscription term or billing cycle.
- If you do not wish for the subscription to renew, you must cancel before the next billing date to avoid being charged for the next subscription period.
- All payments made are final and strictly non-refundable.
Failure to comply with payment obligations may result in immediate suspension of API access.
5. Service Availability & Modifications
- The HolderScan API is provided on an “as-is” and “as-available” basis. We do not guarantee uninterrupted or error-free operation.
- We may, at our discretion, modify, suspend, or discontinue any part of the API without liability.
- We will make reasonable efforts to notify users of major changes, but we are not obligated to maintain backwards compatibility.
6. Security & Authentication
- Users must implement appropriate security measures to protect their API key(s) and access credentials.
- If you suspect unauthorized access or a compromised API key, you must notify us immediately at [email protected].
- Any security breaches caused by negligence, hacking, or unauthorized access may result in immediate termination of API access.
7. Data Ownership, Usage Rights & Attribution
- HolderScan retains full ownership of all API-generated data, insights, and analytics.
- Users may store and display API responses, but redistribution of HolderScan data to third parties requires explicit permission.
- We reserve the right to analyze API usage patterns for performance monitoring, improvements, and compliance enforcement.
- Attribution Requirement: If the API or data obtained through the API is used on a front-facing website or third-party platform, you must display visible attribution to HolderScan. This includes:
- Crediting HolderScan as the data provider.
- Displaying the HolderScan logo and name where applicable.
- Providing a backlink to holderscan.com.
- Ensuring that any API-derived data does not mislead users about its source.
Failure to include proper attribution may result in restricted or revoked API access.
8. Intellectual Property Rights
- All API documentation, code, data, and trademarks remain the intellectual property of HolderScan.
- Users may not claim ownership of, modify, or resell HolderScan API data.
- Any unauthorized reproduction or redistribution of API content may result in legal action.
9. Third-Party Integrations & Dependencies
- The HolderScan API may integrate with third-party services, such as blockchain networks and data providers.
- We do not control or take responsibility for external service interruptions, inaccuracies, or modifications.
- Users acknowledge that third-party dependencies may impact API performance.
10. Limitation of Liability & Disclaimer of Warranties
- The HolderScan API is provided without warranties of any kind, express or implied, including but not limited to availability, accuracy, or fitness for a particular purpose.
- We are not responsible for any financial losses, incorrect data interpretation, or errors arising from API usage.
- To the maximum extent permitted by law, HolderScan shall not be liable for any direct, indirect, incidental, consequential, or punitive damages resulting from the use of the API.
11. Termination & Suspension of API Access
HolderScan reserves the right to terminate or suspend API access without prior notice if:
- A user violates these API Terms of Service.
- API activity poses a security risk to HolderScan or its users.
- The API is being used for unauthorized commercial purposes.
- Required by law or regulatory compliance.
Upon termination, you must cease all use of the API and delete any stored API keys.
12. Indemnification Clause
By using the HolderScan API, you agree to indemnify, defend, and hold harmless HolderScan, its affiliates, employees, and partners from any claims, damages, or liabilities arising from:
- Your use or misuse of the API.
- Third-party claims related to API-driven services you provide.
- Legal violations stemming from API-related activities.
13. Compliance with Laws & Regulatory Requirements
- API users must comply with all applicable laws, including but not limited to:
- Data privacy regulations (e.g., GDPR, CCPA).
- Anti-money laundering (AML) and financial compliance laws.
- Intellectual property laws regarding API data usage.
- HolderScan reserves the right to cooperate with authorities in cases of illegal API use.
14. Modification of Terms
- HolderScan reserves the right to update these API Terms at any time.
- Users will be notified of major changes via email or dashboard notifications.
- Continued use of the API after updates constitutes acceptance of the new Terms.
15. Dispute Resolution & Governing Law
- These API Terms shall be governed by and construed in accordance with the laws of Nevada, United States.
- Any disputes arising from API usage shall be resolved through arbitration in Nevada, unless otherwise required by law.
